The biggest IPO in history

I have been dealing with Alibaba for many years now, but for many other people, Alibaba is an unknown company. Alibaba is the unmatched e-commerce market leader in China. It holds about 95% of China`s C2C market (Taobao division) and more than 50% of the B2C market (Tmall division).

Alibaba is set to trade under the new ticker symbol on NYSE; BABA, on friday, September 19th. I think that many will be shocked by Alibaba`s entrence in the West, because only a few investors have heard of the company.

Alibaba`s business is more profitable than Amazon and eBay put together, and the U.S`s dominance in the e-commerce sector is poised to fall with the air apparent to Amazon set to IPO. Alibaba`s IPO may herald the end of U.S E-commerce dominance.

When Alibaba enters the market in the West, the competition will increase and standardize prices around the world, which means Apple Inc can`t sell their iPhone 6 for one price in Europe and another in the U.S.

Ebay didn`t have chance to compete with Alibaba, so the decided to stop their business in China. Jack Ma said it was primarily because they wasn`t effective enough and couldn`t deliver so fast as Alibaba does.

Jack Ma is a great business man. In a letter to his shareholders he said in it, this single sentence about Alibaba`s culture, may revolutionize the way other companies do business. «I have said on numerous occasions that we will put customers first, employees second, and shareholders third».

Don`t forget those words by William Feater: The primary asset of any business is its organization, but as you already know; the customer is the God. Without any customers, you are completely dead. So, what will happen to Amazon and eBay`s customers is the big question now. Price and service are key factors now.

For every dollar in sales, Alibaba makes $0,43 in gross profit. In contrast, Amazon only manage to squeeze just $0,01 gross profit for every dollar in sales. Operating income in the three months ended June, was 42% more than the combined profit of Amazon and eBay for the same period.

Many people talk about bubbles, but this is not like what we saw in the dot-com boom in the late 90`s. Take a look at these Chinese companies which is not revenue-starved; Alibaba founded in 1999, Q2 2014: $2,54 billion in revenue. Up 46% Y/Y. Valuation; $155 billion.

Tencent founded in 1998, Q2 2014; $3,21 billion in revenue. Up 37% Y/Y, and last but not least; Baidu which is founded in 2000. Q2 2014: $1,93 billion in revenue. Up 58,8% Y/Y. This the best tech companies in China and all those three founders are the three richest in China, with Jack Ma on the top.

Ebay is out of the market in China along with Google, which was very profitable for Baidu. Of course the Chinese government is supporting their own companies, so it is not easy for the companies in the West to penetrate the Asian markets. It`s hard to say how well Baidu would be doing if Google hadn`t pulled out of China in 2010.

A report from China Internet Network Information Center said in June that China had 632 million Internet users and 527 million mobile Internet users. This is about the numbers of China`s middle class.

It is expected that this number of middle class in China will grow by 500 million over the next decade, and reach a whopping three billion by 2030, which mean a huge market for many start-ups in the west, but the big question is the Chinese government.

They have a habit of favoring state-owned or state-connected companies. An Internet startup with total potential revenues of $10 million in the U.S might achieve revenues of ten times more in Asia. It can be lucrative to expand in Asia, but sometimes not so easy.

WhatsApp is popular in Hong Kong, but WeChat dominates in China. Kakao Talk is the big thing in Korea, while the most popular chat app in Japan is Line. As you may know; Asia is not only China. What might work in China can be a flop in Korea, Japan, Singapore or Hong Kong.

Alibaba will change the Chinese corporate giant`s diverse range of business lines, from e-commerce marketplaces to logistics to financial services. A overseas IPO could prompt the firm to reassess its strategy for these business categories as well as the countries where it operates.

The West are protecting their companies just like the Chinese government. It was not so easy for Baidu, VIPShop or Youku Tudou in the overseas markets like the U.S, as they all are focused on the Chinese market. But Baidu is a search engine, while Alibaba is something different. Peope want to buy things cheap and Alibaba can fix that.

As Jack Ma said; «China is the main course, while developed markets like the U.S are merely dessert».

GoPro IPO today

It`s headed for the largest consumer-electronics debut in 23 years today, as GoPro, the video-camera maker is going public. So far, the company has been privately held, but now it is open for the public.

The latest consumer-electronics IPO was in 2011. Headphonemaker Skullcandy Inc raised $189 million in their debut. We had another deal in the same sector when another headphone company called Beats ElectronicsLLC agreed to a $3 billion buyout by Apple Inc.

GoPro plans to sell as much as $427 million stocks in the IPO today, and that would mark the largest consumer-electronics IPO since Duracell`s debut in 1991. They raised $433 million at that time, and Procter & GambleCo bought the company six years later.

GoPro will raise $427 million by offering 17,8 million shares (50% insider) at $24, the high-end of the $21 – $24 range. At the IPO price, GoPro will have a fully diluted market cap of $3,5 billion and an enterprise value of $3,3 billion.

GoPro will list on the NASDAQ and their trading symbol will be GPRO. Barclays, City and J.P. Morgan acted as joint bookrunners on the deal, and analysts at the bank expect the deal to value it at about 25 times projected earnings.

If the price of GoPro is $24, the company would have a richer price/earnings ratio than Apple Inc, which trades at about 13 times analysts 2015 profit forecast. Garmin Ltd trades at 20 times.

The bull market in initial public offerings rolls on, and so far in 2014, there have been 144 U.S IPO`s, raising $30 billion. This puts the IPO market on pace for the busiest year since 2000, both by dollar volume and number of deals.

The question mark now is whether the GoPro`s shares are being priced appropriately.

Mobile ad opportunity

Vodafone`s (VOD) FY EBITDA dropped 5,4%. Their revenue also slipped 1,9% to £43,6 billion. Net profit attributable to shareholders soared to £59,25 billion from £413 million in 2013, boosted by the sale of their 45% stake in Verizone Wireless for $130 billion.

Organic service revenue declined 3,8% in Q4. Adjusted operating profit dropped 37% to £7,67 billion, mainly due to a much lower contribution from Verizone Wireless before it was sold. Vodafone expects FY 2015 EBITDA to drop to £11,5 billion.

CEO Vittorio Colao say Vodafone`s emerging markets businesses have performed strongly. In Europe, the company continues to face competitive. Vodafone declared a final dividend of 7,47 pence a share, giving total dividends of 11 pence, up 8%.

Vodafone is the world`s second-largest mobile network operator and the Pan-European FTSEurofirst 300 Indes slipped today as Vodafone fell 4% after reporting huge impairment costs. Vodafone was the biggest faller on the FTSEurofirst 300 today.

The underlying profit continuing to move in the wrong direction and it seems to be very expensive to be in this competitive markets. AT&T bought Direct-TV to diversify and continue to grow its business.

This makes AT&T strong, and Verizone, Sprint and T-Mobile should watch out, as AT&T has more leverage right now. Direct TV`s coverage map can reach 99% of households. Their mentions that cost savings will exceed $1,6 billion.

AT&T now have the ability to price itself lower than other competitors. AT&T`s CEO belive the deal will go through regulators in light of recent trends in telecom and communications. AT&T bought out Direct TV for $95 per share ($48,5 billion).

It`s probably better to be on the other side. Facebook are earning money on their direct ad mobile advertising. Now, Yahoo have the ability to do the same as Facebook. Yahoo is down -16,2% so far in 2014.

The Alibaba IPO can give Yahoo a huge opportunity as they have a potential in Yahoo`s mobile advertising. They can acquire mobile advertising firms like Millennial Media or AOL. This is what made Facebook a big growth company.

Yahoo have Yahoo Weather, Yahoo Finance and Tumblr. They have about 360 million global users and this amount of users can make Yahoo grow with a new mobile ad platform. Yahoo have the ability to buy Millennial Media cheap.

Anyway; Yahoo`s stake in Alibaba will give them a lot of cash, and you all know that Cash is King! Money is just a piece of paper. It ain`t worth something. Just the thing you can buy with the cash. So what is money? It`s just tools, and you need the tools to reach your goals.

Yahoo have a huge opportunity during the Alibaba IPO, and they can be a great growth company if they are doing the right things now. Yahoo have been on the market for a long time, and money will not be the biggest problem for them now. They need a great idea. Mobile ads can be one of them.

How to buy Alibaba IPO shares

 

This will probably be one of the biggest IPO (Initial Public Offerings) of all time. The stock could double right after the opening for trading, but unfortunately, those shares will be impossible to acquire prior to the offering.

So, what are you gonna do, if you want to get in on the Alibaba IPO? You can get in by walking in the backdoor into this offering. I think the best thing is to invest in Alibaba`s biggest shareholders like Softbank or Yahoo.

 

They own 37% and 24%. Because of the stake they both have in Alibaba, they are both up 76% (Yahoo) and 114% (Softbank). Last year have been good for both of them. Softbank`s outperformance of Yahoo can be attributed to its larger share of Alibaba.

 

Yahoo`s stake is worth $31 billion and that is about 80% of its market cap. Softbank`s market cap is $99 billion and its investment in Alibaba could be worth about $80 billion. Softbank paid $20 million for its investment in 2000. Now it is about $4 billion, and that is a good investment.

 

Softbank is probably a better investment than Yahoo because of its Alibaba holdings which is a smaller portion of its market cap. If Alibaba`s shares doubles the first day, the sum of Softbank`s shares will be worth about $150 billion, and that is above 50% higher than its market cap today.

 

You can also buy SPDR S&P International Telecommunications Sector ETF (IST), if you belive Softbank is a better investment than Yahoo. Softbank is the second largest weighting at 9,42% in this ETF mutual fund.

 

If you thing Yahoo is a better bet, you can buy First Trust Dow Jones Internet Index Fund (FDN) which have a weighting at 4,12%. Other investment opportunities to consider is Baron International Growth Fund (BIGFX) and American Funds New Economy Fund (ANEFX).

 

The last funds mentioned does not have a huge stake in Alibaba. American Funds New Economy are benefiting from tech and innovation, but their weighting in Softbank is just 1,42% and only 0,48% in Yahoo.

 

You can also consider Renaissance IPO ETF (IPO) which adds companies on the fifth day of trading and sells them about two years later. I think Alibaba will be added, but this will be a long-term investment and you need to wait before you jump in.

 

Krane Shares CSI China Internet Fund (KWEB) started its business in July 2013. They will start to buy after day 11 of trading. You have to remember that none of these investments are perfect. It`s risky to buy IPO stocks and I have never done that.

 

All this is just a scenario and I say the stock can double the first day, just to make an example. Alibaba`s decision to list in the U.S was a blow to the Hong Kong Stock Exchange. Former English schoolteacher and lead founder Jack Ma owns 8,9% of Alibaba, and he will be one of the richest in China.

Y!mobile on the run

 

Yahoo Japan Corp is Japan`s biggest internet portal and SoftBank own a 42,6% stake in Yahoo Japan. Yahoo Japan Corp will try to buy mobile network operator eAccess for 324 billion yen ($3,17 billion). The stock slid -6,38% yesterday.

They will try to launch their own mobile internet service and their new Y!mobile service would aim for more than 20 million users. The purchase is scheduled for June 2 and will follow eAccess` planned merger with wireless provider Willcom, which is also a member of SoftBank group.

Combined they have about 10 million users. Yahoo`s President Manabu Miyasaka said they want additional 10 million users, and they do this because they want control over their own sales channel and service, so they launch this as a standard mobile operator with a simple pricing structure.

SoftBank have a 99,68% stake in eAccess but will have only 33,29% voting rights due to regulatory restrictions. SoftBank launched the Apple Inc iPhone in Japan. They aquired the mobile carrier Sprint Corp last year (No 3 in U.S).

The telecom is extremely attractive to companies like this. They will be nothing without this connections. It`s a growing demand for mobile devices, and consumers in Japan will have an average of six mobile devices each, including wearables and mobile devices in cars, Yahoo`s president said.

Yahoo need to slash prices to win market share against their competitors like NTT DoCoMo Inc and KDDI Corp, as well as their own parent SoftBank, because Japan`s telecom market is ultracompetetive.

SoftBank bought eAccess for 180 billion Yen in 2012 to meet the rising demand for bandwidth as smart phone users surf the web, watch videos and play games. They need to be prepared for faster network demand.

Yahoo Japan will start the new service called Y!mobile and share phone networks with SoftBank, once eAccess acquires Willcom in June. Yahoo Japan hope to win more users who will turn more frequently to their marketplace and auction sites and boosting their e-commers and online advertising businesses.

As the Yahoo president say; they are trying to do something wild, and not be in a status quo position. So are SoftBank doing it. They have been pursuing investments in internet firms around the world, and have a stake in Yahoo Japan, and a 36,7% stake in Chinese e-commerce company Alibaba Group.

A listing of Alibaba would be one of the largest IPO`s by an internet company.
